Introduction

If you are an organizational entity -- meaning, a corporate, limited liability company, or partnership -- involved in a dispute with an individual or another organization, this would widely be considered commercial litigation regardless of the nature of the dispute.  If the dispute centers around a business relationship, it would certainly be commercial in nature, and this can even be the case between two parties that are individuals with no organizational structure.  Due to the nature of the relationship, you will often see breach of contract or quasi-contract claims at issue, but not always.  Commercial litigation can involve a wide range of potential claims and applicable law depending on the facts and sector involved.

Organizations as Parties

Company A sues Company B.  Company A sues Individual B.  Individual A sues Company B, and so on.  A commercial litigation attorney is best suited to handle a case involving an organizational entity on either side because of the particular and often complex issues to consider when a legal entity is involved.

Business Dealings 

One reason that you often see breach of contract claims in commercial litigation is because parties doing business with one another should have a written or oral agreement with one another as to the enforceable terms of their dealings. Of course, what should be the case is not always the case, so quasi-contracts or other equitable substitutes for a legal contract are also very common in commercial disputes.  Because things can go wrong in countless ways when two parties agree to a course of action for mutual profit, there are many types of claims that can arise in commercial litigation besides breach of contract.
